Andrea practice focuses on the structuring and formation of small and micro venture investment funds, including SPVs and series investment vehicles. She also advises individual and institutional fund investors on the terms and conditions of funds in which they propose to invest, and further advises members and managers of investment funds as they evaluate their arrivals and departures from fund management groups.

Andrea began forming venture funds in 1997 while an associate at Cooley LLP, a law firm that primarily represents the sponsor side of venture funds. At Cooley, she was involved in the formation of venture, private equity, buyout, mezzanine, corporate, and international funds. Subsequently, as counsel at Nixon Peabody LLP, a law firm consistently ranked in the top three U.S. law firms for representation of institutional fund investors, Andrea reviewed fund investment agreements and advised the foremost North American institutional investors on their venture and private equity investments. At Morrison & Foerster LLP, her work focused on both sponsor- and investor-side representation. Andrea has worked at companies as large as BlackRock, and as small as family offices. She served as in-house counsel at SeedAsia, a Shanghai-based funding portal, and at SharesPost Financial Corporation, a secondary trading market for pre-ipo shares.
