Fred’s experience as a business executive, Chief Financial Officer, General Counsel and entrepreneur enables him to provide his clients with practical business advice and seasoned legal counsel. He represents emerging growth and mature Fortune 500 companies. Fred’s practice focuses on technology and corporate transactions, including technology licensing, SaaS and new media agreements, commercial agreements and M&A transactions.

General Counsel: Fred was previously Vice President and General Counsel of Paciolan, a ticketing software company acquired by Ticketmaster and eventually sold to Comcast-Spectacor, a Comcast company, and then sold again to Learfield IMG College. At Paciolan, Fred managed the legal affairs of Paciolan, which included inbound and outbound licensing transactions, venture capital and debt financings, mergers & acquisitions, corporate governance, employment counseling and management of outside counsel. As legal counsel to Paciolan, Fred has negotiated commercial licensing and SaaS agreements with professional sports teams in the NBA, NHL and MLB, and most of the major national universities in the Power Five conferences, as well as strategic agreements with technology and new media partners such as Google, Facebook and StubHub.

Chief Financial Officer: Prior to Paciolan, Fred was the Chief Financial Officer and VP General Counsel of Bitfone Corporation, a wireless software provider acquired by Hewlett-Packard. Fred managed Bitfone’s financial, legal, administrative, human resources and information technology operations in California, Canada, the United Kingdom, China, Japan and Korea. Fred negotiated and closed Bitfone’s merger with Digital Transit, Inc., its cross-border acquisition of Mobile Diagnostix and over $50M in venture capital financings, as well as commercial transactions with Motorola, Qualcomm, LG, Sony Ericsson and SK Telecom.

Private Practice In Silicon Valley and Orange County: Fred has over a dozen years of private practice experience in Southern California and Silicon Valley, representing mature Fortune 500 and emerging growth companies in connection with their technology, commercial and corporate transactions.
