Katharine Alexander

Katharine is an experienced corporate and securities attorney who represents clients in the consumer internet, software, telecommunications, life sciences & medical device, fintech, and entertainment technology sectors. Her practice primarily comprises M&A transactions, corporate finance and securities transactions, and outside corporate counseling to emerging growth companies and their founders, investors, and management teams.

Katharine has represented clients in venture financing transactions raising over $850 million in investment capital in aggregate, and M&A transactions representing over $40 billion in enterprise value. She advises both buyers and sellers in M&A transactions, including mergers, stock and asset purchases, spin-offs, and other change-of-control and acquisition transactions. Katharine also represents companies and investors, respectively, in a wide range of corporate finance and securities transactions, including seed and pre-seed stage financings, venture capital financings, debt financings, corporate investments, private equity investments, joint ventures, and strategic partnerships.

In her role as outside corporate counsel, Katharine advises companies on all manner of day-to-day legal topics, including corporate formation and structuring, capitalization matters, corporate governance best practices, and compliance with applicable securities regulatory and corporate governance requirements (including SEC, FINRA, NASD, and NYSE rules and regulations, the Securities Exchange Act of 1944, the Securities Act of 1933, the Investment Company Act of 1940, and the Investment Advisors Act of 1940).

Prior to joining Acceleron, Katharine was a corporate associate in the San Francisco headquarters office of Morrison & Foerster, and in the Silicon Valley and San Francisco offices of Gunderson Dettmer. She received her J.D. from UC Berkeley (Boalt Hall), where she was elected by peer vote to the Editorial Board of the California Law Review and received the Prosser Prize in Corporate Governance by nomination of her professors. She received her B.A., with honors, in History from Grinnell College, where she received the Phi Beta Kappa Scholar’s Award for her original research and writing on the Supreme Court under Chief Justice John Marshall, and was elected to Phi Beta Kappa upon graduation.
